Qualification Requirements

Applicants must possess one of the following qualifications:

• Member of a recognized body of Corporate or Chartered Secretaries (ICSP), OR
• Member of a recognized body of Professional Accountants (ICAP/ICMAP), OR
• Master’s Degree in Business Administration or Commerce, OR
• Law Graduate or equivalent qualification from an HEC-recognized university.

Candidates must also fulfill the Fit & Proper Criteria specified by the SECP for appointment in Public Sector Companies.

Experience Requirements

• Minimum 15 years of relevant professional experience is required.
• Preference will be given to candidates having:
  • At least 10 years of experience as Company Secretary in:
    • Public Sector Companies,
    • Public Limited Companies incorporated with SECP,
    • Section 42 Companies,
    • Autonomous Bodies, or similar organizations.

Areas of Expertise

The candidate should have strong expertise in:

• Companies Act, 2017
• Public Sector Companies (Corporate Governance) Rules, 2013
• SOEs Ownership and Management Policy 2023
• Corporate governance frameworks
• Preparation of:
  • AGM agendas,
  • Board of Directors meeting working papers,
  • Committee meeting documents,
  • Minutes and resolutions
• Legal drafting and corporate documentation
• Liaison with regulatory authorities
• Ensuring compliance with laws, rules, regulations, and company policies
• Advising the Board on:
  • Corporate governance,
  • Legal matters,
  • Regulatory compliance
• Strong communication, organizational, and interpersonal skills
